Partner Collaboration Terms

Collaboration terms for partners who publish activities on LUDICO.

LUDICO is a platform where people in Barcelona discover their next hobby: from ceramics, woodworking and cooking to magic, music and much more. We connect curious people with workshops and teachers who inspire them.

This document summarises the collaboration terms for partners who are part of LUDICO. By accepting these terms, through a digital signature or the acceptance checkbox in the onboarding form, the partner confirms their agreement with the conditions described here.

1. Commission

LUDICO charges a commission for every booking made through the platform. The applicable VAT is added to that commission. There are no other LUDICO fees.

Founding partners — onboarded by 1 September 2026

Permanent 10%.

Standard rate — onboarded from 2 September 2026

15%.

The founding-partner list closed on 1 September 2026 at 23:00. The applicable commission is recorded individually on each partner profile and does not vary over time or with booking volume.

Example: if an activity costs €50, the commission for a partner on a 10% rate is €5.00. With 21% VAT on that commission, VAT is €1.05: LUDICO retains €6.05 and the partner receives €43.95 in their Stripe balance, before Stripe processing fees.

  • No setup fee.
  • No monthly fees.
  • No minimum commitment.
  • LUDICO only charges when a booking is confirmed.
  • The commission covers LUDICO's management costs; applicable VAT is added to that commission.
  • LUDICO absorbs Stripe processing fees and dispute-management fees.

2. Partner autonomy

The partner retains full control over their activity. LUDICO does not interfere in operational decisions.

  • The partner sets the price of their activities.
  • The partner defines schedules and availability.
  • The partner sets the maximum number of places.
  • The partner may publish through other channels at the same time, without exclusivity.
  • The partner may remove activities from LUDICO at any time, without cost or penalty.
  • The partner chooses the booking model for each activity: instant booking or prior approval.
  • The partner may change the date, time and number of places of sessions at any time, provided there are no confirmed bookings for those sessions.

3. What LUDICO manages

  • Publishing and visibility of activities on the platform.
  • Selection of the main activity photograph that best fits LUDICO's layout and image, from images provided by the partner.
  • Managing participant bookings and confirmations.
  • Collecting payment from participants, automatically deducting commission and applicable VAT, and transferring the net amount to the partner through Stripe Connect.
  • Absorbing Stripe processing fees: the partner receives the net amount calculated for the booking, without an additional deduction for those fees.
  • Issuing invoices on behalf of the partner through third-party billing.
  • Managing cancellations and refunds under the established policy.
  • Publishing participant reviews of activities.
  • Supporting participants before and after the activity.
  • Sending automatic email notifications to partners and customers at every stage of the booking process.

4. Activity configuration

Pricing models. Per person: the total price depends on the number of participants. Fixed price: the group always pays the same total price. Hybrid: a fixed price for small groups and a per-person price from a threshold set by the partner.

Additional pricing options. A different price for Saturdays and Sundays, applied automatically to weekend sessions. Group discount, applied automatically when the customer books a minimum number of places set by the partner. A free first activity as a birthday gift: the partner may offer a free place for a session in the customer's birthday month.

Date and time models. Fixed date and time: the customer chooses a session with a specific date and time. Fixed date, flexible time: the customer chooses a day and indicates a morning or afternoon preference; the exact time is agreed directly between partner and customer after confirmation. No set date, for private groups with prior approval only: the customer indicates their preferred month or period; the partner is responsible for contacting the customer to agree the final date and time. These bookings are valid for a maximum of 6 months from approval; if no date has been agreed by then, the booking expires automatically. The customer receives a notice 30 days before expiry.

Content and photographs. The partner may upload their own photographs directly from the partner dashboard. LUDICO will select the main photograph that best fits the layout and image of the platform. The partner guarantees that they hold the rights to every image they upload.

5. Booking models

Instant booking

The booking is automatically confirmed after customer payment. The partner does not need to approve any action. It is suitable for individual activities and open groups with fixed dates and times.

Prior-approval booking (Request to Book)

The customer submits a request. Payment is held in Stripe through an authorisation, but is not charged until the partner approves. The partner has a maximum of 48 hours to approve or decline.

Important: the partner may approve the request even if the exact date or time is not yet defined; those details are coordinated directly with the customer after approval.

The system includes three preset questions that the customer must answer when making the request: the occasion, such as birthday, farewell, team building, friends' gathering or other; any allergies, intolerances or special needs; and the preferred time slot, date or month according to the activity model.

Approval flow

The customer sends the request after answering the three questions. The partner receives it in their dashboard with all details and has 48 hours to decide. If approved, payment is automatically captured, the partner receives the customer's contact details and is responsible for contacting them to coordinate final details through the platform messaging system. If declined or unanswered within 48 hours, the authorisation is automatically cancelled and the customer is not charged.

6. Payments and settlements (Stripe Connect Express)

Stripe onboarding

During onboarding, the partner creates their Stripe Express account through LUDICO. Full access to the payments dashboard will be available from the official launch in September 2026, when the platform operates in live mode. The partner enters their bank details directly in Stripe; LUDICO never accesses that information. Stripe verifies the partner's identity under applicable KYC/AML requirements. To receive payments through Stripe, the partner must be registered as self-employed or have a company registered in Spain.

Charging and transfer flow

Instant booking: Stripe charges the total amount when the booking is confirmed. Prior-approval booking: Stripe holds the amount when the request is made and captures it only when the partner approves; if the partner declines or does not reply within 48 hours, the authorisation is automatically cancelled.

The charge is processed in LUDICO's platform account. LUDICO automatically deducts the partner's individual 10% or 15% commission, as applicable, plus the applicable VAT on that commission. After the activity has taken place and a minimum 48-hour window has elapsed, LUDICO instructs the transfer of the net amount to the partner's Stripe Express account. LUDICO absorbs Stripe processing fees.

Chargebacks and disputes

The charge is processed in LUDICO's platform account and the transfer to the partner is made later through Stripe Connect. The consequences of a dispute are managed under that flow.

  • If a participant disputes a charge with their bank before the amount has been transferred to the partner, the disputed amount is not transferred.
  • If the transfer to the partner has already been made, LUDICO will request a transfer reversal in Stripe. If the partner's balance is insufficient, LUDICO provisionally covers the difference with Stripe; the amount remains the partner's responsibility and LUDICO may recover it from future settlements or request reimbursement.
  • LUDICO fully absorbs Stripe's dispute-management fee, approximately €15 per case, without passing it on to the partner.
  • LUDICO will provide the partner with the booking information needed to respond to the dispute: booking data, communications and confirmations sent.
  • A repeated history of chargebacks may lead to temporary suspension of the partner account under section 13.

Transfer timing

The transfer to the partner's Stripe Express balance is instructed after the activity and the minimum 48-hour window. Once available in Stripe Express, payouts to the bank follow Stripe's standard timing, usually 2 to 7 business days. The partner can view and manage payouts from their Stripe dashboard.

Tax data and invoicing

LUDICO issues invoices on behalf of the partner for booked activities through third-party billing. The partner is responsible for their tax obligations, including VAT, personal income tax and other applicable taxes. LUDICO may be required to report data to the Spanish Tax Agency under current rules, including Modelo 190 where applicable. Partner tax data is kept for the legally required period, at least 6 years.

7. Cancellations and refunds

Cancellation by the participant — fixed-date activities

More than 72 hours in advance: full refund or free rescheduling to another available date. Between 72 and 24 hours before: no refund, but one free rescheduling is allowed. Less than 24 hours before: no refund and no rescheduling.

Cancellation by the participant — private groups with prior approval and no fixed date

Within 7 calendar days of payment confirmation: full refund. After 7 calendar days: no refund, whether or not the final date and time have been agreed. If the booking expires due to inactivity after 6 months: no refund. The partner must contact the customer to coordinate the date and time; if the customer does not reply, the booking expires without a right to a refund. Exceptionally, if LUDICO determines that the partner never contacted the customer, it may authorise an exceptional refund at its discretion.

Cancellation by the partner

If there are no confirmed bookings, the partner may change or cancel sessions freely without penalty. If there are confirmed bookings, the partner must cancel at least 5 calendar days in advance and the participant receives a full refund. Cancellations with fewer than 5 days' notice and no valid justification result in a full refund to the participant plus a formal warning to the partner; after two occurrences, LUDICO may temporarily suspend the account. Valid justifications include force majeure, documented illness or other exceptional circumstances at LUDICO's discretion.

Dispute resolution

In a dispute between a participant and a partner, LUDICO acts as a good-faith mediator. LUDICO may authorise exceptional refunds when the activity was not delivered as described on the platform. In the event of force majeure, LUDICO and the partner will agree the most suitable solution. All refunds are processed through Stripe. If the net amount has already been transferred to the partner, LUDICO will request a reversal of that transfer or manage its recovery under section 6.

8. Activities with minors

  • Bookings for activities involving minors must be made by an adult, parent or legal guardian over 18.
  • The responsible adult accepts responsibility for the minor's participation when booking.
  • The partner is responsible for ensuring the safety and suitability of the activity for the stated age range.
  • The partner must hold the permits, qualifications and insurance required to work with minors where applicable law requires them.
  • LUDICO does not collect personal data from children under 14 without verified consent from their legal guardians.
  • Minors' data is processed solely to manage the booked activity.

9. Partner responsibilities

  • Guarantee the quality and safety of the activity offered.
  • Hold the permits, licences and insurance needed to deliver the activity.
  • Be registered as self-employed or have a company registered in Spain.
  • Guarantee that they hold the rights to the images and content shared with LUDICO.
  • Keep activity information up to date, including schedules, places, prices and photographs.
  • Notify LUDICO at least 24 hours in advance of any change or cancellation of a session with confirmed bookings.
  • Respond to prior-approval booking requests within a maximum of 48 hours.
  • Contact the customer within a reasonable time after approval to agree final date and time details when needed.
  • Treat participants respectfully and professionally.
  • Provide truthful tax information and keep it up to date in their Stripe Express account.
  • Accept the publication of participant reviews on the platform.

10. Content and intellectual property

  • The partner is the sole owner of the rights to the photographs, descriptions and other content shared with LUDICO.
  • By publishing content on LUDICO, the partner grants LUDICO a non-exclusive licence to use that content to promote the activity within the platform and in LUDICO's communication channels.
  • LUDICO will not transfer the partner's content to third parties without their consent.
  • The partner may request removal of their content at any time.

11. Reviews and reputation

  • LUDICO allows participants to leave public reviews of completed activities.
  • The partner accepts publication of these reviews as part of the normal operation of the platform.
  • LUDICO moderates reviews to ensure they are truthful and respectful.
  • For an unfair or fraudulent review, the partner may contact partners@ludico.es to request a review.

12. Data protection

The processing of personal data of partners and participants is governed by LUDICO's Privacy Policy, the GDPR and the Spanish LOPDGDD.

  • Partner bank details are managed exclusively by Stripe Payments Europe Ltd., Ireland. LUDICO does not store bank account numbers or complete banking details.
  • Stripe is PCI-DSS Level 1 certified and acts as processor for payment data.
  • Customer contact details are revealed to the partner only after the booking is approved.
  • Partner tax data is kept for the legally required period, at least 6 years.
  • The partner may exercise their rights of access, rectification, erasure, objection, restriction and portability by contacting partners@ludico.es.

13. Duration and termination

This agreement has no minimum duration. The partner may terminate at any time, without penalty or additional cost, by notifying LUDICO at partners@ludico.es. On termination, the partner disconnects their Stripe Express account from the Stripe dashboard; bookings already confirmed will be managed through completion. LUDICO may terminate a partner for serious breach of these conditions after notice.

Acceptance

These terms may be accepted in two equivalent forms with full legal validity: through the acceptance checkbox in LUDICO's onboarding form, with an automatic record of the date, time and identity of the person accepting; or through electronic signature of this document.

In either case, acceptance means that the partner knows and agrees to these Collaboration Terms and to LUDICO's Privacy Policy.
