1. Introduction
1.1 About the platform
LUDICO is a technology platform that connects users ("Buyers" or "Students") with organizers of experiences, workshops, and creative classes ("Partners"), through the domain ludico.com (or local extensions).
1.1.1 LUDICO acts exclusively as a Marketplace (Intermediary). We facilitate discovery, booking, and payment, but the contract for the provision of the service (the class/workshop) is concluded directly between the User and the Partner.
1.1.2 LUDICO does not organize and is not responsible for the execution of the listed activities.
1.1.3 Acceptance and validity of the conditions
By registering or browsing the Platform, the User accepts these Terms in full. This document constitutes a binding contract between the User and LUDICO.
1.2 Age requirements
- Users: minimum age of 16 to make bookings. Minors under 16 must be enrolled by their legal guardians.
- Partners: minimum age of 18, with full legal capacity and duly authorized to invoice for their services in Spain.
By using our website or by agreeing to these terms and conditions, you warrant and represent that you meet these age requirements.
1.3 Data protection
Under data protection legislation, we are required to provide you with certain information about who we are, how we process your personal data and for what purposes, and your rights regarding your personal data and how to exercise them. This information is provided in our Privacy Policy.
2. Account Management and Security
The User is solely responsible for the accuracy of their data and the confidentiality of their password. LUDICO reserves the right to suspend accounts in case of fraudulent use or violation of these terms.
3. Gift Cards
3.1 Use and expiration
Gift cards purchased on LUDICO can be redeemed for any activity available on our Platform and are valid for 12 months from the date of purchase. The expiration date will be indicated on the gift card.
3.2 Refunds and partial use
Gift cards are not refundable in cash. If an activity paid with a Gift Card is canceled by the Partner, the amount returns to the original card balance. If the workshop price is lower than the value of the gift card, the remaining balance stays on the gift card for future use until expiration.
4. Publication and accuracy of activities
4.1 Partner responsibility
Partners are solely responsible for the accuracy of the published information (prices, photos, description, and availability). LUDICO reserves the right to moderate or remove content that does not meet quality standards.
4.2 Role of the platform
We do not warrant, endorse, or guarantee the quality, safety, or legality of any Partner's offerings. We facilitate the marketplace but are not party to the contract between Buyers and Partners for the actual activity experience.
4.3 Service standards
Partners agree that their Services will:
- Conform, in all material respects, to the description contained in the listing.
- Comply with all applicable Spanish laws and regulations.
- Be conducted safely and with adequate insurance coverage.
5. Prices, fees, and payments
5.1 Prices
All prices are presented in euros (€) and include Spanish VAT, where applicable.
5.2 Purchase Models
LUDICO allows booking activities through:
- One-time payment: ad-hoc purchase of an activity.
- Credits/Subscription System: purchase of monthly plans that grant credits to use across the partner network (subject to plan availability). Credits are for personal use, expire at the end of each billing cycle (30 days), and do not roll over to the following month.
5.3 Payment processing
We process payments on behalf of the Partners. When you make a booking, you authorize us to charge the selected payment method. Payments are processed via Stripe Connect, ensuring that the Partner's amount is settled securely after the activity has taken place.
5.4 Commission
LUDICO retains a service commission on each booking made, agreed in advance with the Partner. The amount paid by the User already includes this fee and the applicable VAT.
5.5 Failed payments
If a payment fails, we reserve the right to cancel the booking and suspend your account until the payment is resolved.
6. Subscription System and Monthly Credits
Credits acquired through monthly plans are for personal use.
6.1 Expiration
Credits expire at the end of each billing cycle (30 days) and do not roll over to the following month, unless otherwise indicated in the specific plan.
7. Cancellation, Rescheduling, and Refund Policy
7.1 Individual bookings
For individual bookings, the following cancellation refund policy applies:
More than 48 hours before the workshop:
- Full refund, less only the original financial processing fees (Stripe).
Less than 48 hours before the workshop:
- No refund available, as the spot has been reserved and the partner has organized their setup.
7.2 Groups and Companies
For team-building and group bookings (typically more than 5 participants), recognizing the additional planning required, the following policy applies:
More than 7 days before the workshop:
- Full refund, less only the original financial processing fees (Stripe).
Less than 7 days before the workshop:
- No refund available, as the space has been reserved and the partner has organized their setup.
7.3 How to cancel your booking
To cancel your booking, select "Cancel Booking" on your bookings page. We will process your cancellation request and confirm the refund amount based on the time guidelines above. You will receive a confirmation email once processed.
7.4 Cancellations initiated by the Partner
If a Partner cancels your workshop, you are entitled to a full refund, including all fees.
7.5 No-shows
If you do not attend the booked workshop without prior cancellation notice, you will not be entitled to a refund or rescheduling.
7.6 Rescheduling
Rescheduling options are subject to:
- Workshop and Partner availability.
- Cancellation policy timeline described above.
7.7 Force Majeure
Neither party will be liable for breaches caused by unforeseeable and unavoidable events (natural disasters, pandemics, government orders).
8. Limitation of Liability
LUDICO is not responsible for physical accidents, material damages, or dissatisfaction with the technical quality of the class. This responsibility lies exclusively with the organizing Partner, who must hold Civil Liability Insurance.
9. Partner Obligations
9.1 Quality: the Partner undertakes to deliver the activity as described in their listing, complying with the schedules and materials included.
9.2 Legality: in Barcelona/Spain, the Partner is responsible for complying with all tax obligations and holding the necessary civil liability insurance for their activity.
9.3 Independence: the Partner is not an employee of LUDICO. They are an independent professional who uses the platform as a sales channel.
10. Conduct, Ratings, and Reviews
Reviews must be honest and based on real experiences. The use of offensive language, spam, or harassment of other community members is strictly prohibited.
11. Intellectual Property
LUDICO owns all rights to the software (Next.js), design, and brand. Partners retain ownership of their photos but grant LUDICO a worldwide license to use them in the promotion of the Platform.
12. Limitation of liability
- LUDICO is not responsible for physical accidents, material damages, or dissatisfaction with the technical quality of the class. This responsibility lies exclusively with the organizing Partner, who must hold Civil Liability Insurance.
13. Indemnification
The User agrees to indemnify and hold LUDICO harmless from any liability arising from misuse of the platform or violation of third-party rights.
14. Dispute resolution
14.1 Between buyers and Partners
Disputes between Buyers and Partners regarding the quality, delivery, or cancellation of the workshop must be resolved directly between the parties. We may facilitate communication but are not obliged to mediate disputes.
14.2 EU online dispute resolution
The European Commission provides an online dispute resolution platform at http://ec.europa.eu/odr. You can use this platform to resolve disputes.
15. Governing law and jurisdiction
15.1 Governing law
These Terms shall be governed and interpreted in accordance with the laws of Spain, without regard to its conflict of law provisions.
15.2 Jurisdiction
Any disputes arising from these Terms or your use of the Platform are subject to the exclusive jurisdiction of the Spanish courts. For the resolution of any dispute, the parties choose the venue of the Judicial District of Barcelona, with express waiver of any other.
15.3 Consumer rights
Nothing in these Terms affects your legal rights as a consumer under Spanish or European Union legislation.
16. Third-party services and links
16.1 Third-party links
Our Platform may include hyperlinks to websites owned and operated by third parties. These links do not constitute recommendations. We have no control over third-party websites and accept no responsibility for them or for any losses or damages resulting from their use.
16.2 Payment processors
We use third-party payment processors to handle transactions. Your payment information is subject to their privacy policies and terms of service.
17. Privacy and data protection
17.1 Privacy policy
Our collection and use of personal information is described in our Privacy Policy. By using the Platform, you consent to the privacy practices described therein.
17.2 GDPR compliance
We comply with the General Data Protection Regulation (GDPR) and Spanish data protection laws. You have rights regarding your personal data, including access, correction, deletion, and portability.
17.3 Communications
By creating an account, you consent to receive:
- Booking confirmations and reminders.
- Important service updates.
- Marketing communications (you can opt out).
18. Changes to the conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect.
Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
19. Termination
19.1 Account termination
We may terminate or suspend your account and your access to the Platform immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.
19.2 Effect of termination
In the event of termination:
- Your right to use the Platform ceases immediately.
- Pending bookings may be honored or canceled at our discretion.
- Certain provisions of these Terms survive termination, including those relating to intellectual property, limitations of liability, and dispute resolution.
20. Miscellaneous
20.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LUDICO regarding the Platform.
20.2 Severability
If any provision of these Conditions is deemed unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
20.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restrictions.
20.5 Language
These terms and conditions are available in Spanish and English. In case of discrepancy between the translations, the English version prevails.
20.6 Technical requirements
You are responsible for ensuring that your device and Internet connection meet the requirements for using the Platform. We do not guarantee compatibility with all devices or browsers.
